These Terms of Service ("Terms") govern your access to and use of BidReady.pro and all related services (collectively, the "Services") operated by Newbridge Systems LLC ("BidReady," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
BidReady provides proposal writing assistance, contract opportunity monitoring, and related services to support small businesses pursuing federal government contracts. BidReady is not a law firm and does not provide legal advice. Nothing in the Services constitutes legal, financial, or professional advice. For legal matters, consult a licensed attorney.
You must be at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or your business. By using the Services, you represent that you meet these requirements.
You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to update it as necessary.
When you submit documents, proposals, responses to solicitations, supporting materials, or any other content to us ("Your Content"), you retain ownership of that content. By submitting Your Content, you grant BidReady a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and analyze Your Content for the following purposes:
We will not sell Your Content to third parties or share identifiable proposal content with other clients. Anonymized, aggregated insights derived from Your Content may be used to improve platform performance and develop new features.
You agree not to submit to BidReady any content that:
You are solely responsible for the accuracy and completeness of all information submitted to BidReady for use in proposals.
BidReady prepares proposal drafts based on information you provide. You are responsible for reviewing all materials before submission to any government agency. By submitting a proposal prepared with BidReady's assistance, you certify to the best of your knowledge that all representations, statements, and claims in the proposal are accurate, complete, and truthful.
BidReady does not guarantee that any proposal will result in a contract award. Federal procurement decisions are made solely by the relevant contracting officers and agencies, based on evaluation criteria outside BidReady's control. Nothing in our communications constitutes a promise or representation regarding award outcomes.
Fees for Services are due at the time of purchase unless otherwise agreed in writing. All fees are non-refundable except as expressly stated in our refund policy or required by applicable law. We reserve the right to suspend Services for accounts with outstanding balances.
If BidReady fails to deliver a completed proposal within the stated turnaround time and the delay is attributable solely to BidReady, you may request a full refund within 7 days of the missed deadline. Refund requests must be submitted in writing to hello@bidready.pro. Refunds are not available once a completed proposal draft has been delivered to you.
The BidReady platform, including its software, design, trademarks, and proprietary methodologies, is owned by Newbridge Systems LLC and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the platform without our express written permission. Proposal drafts prepared by BidReady and delivered to you are your property upon full payment of applicable fees.
We treat Your Content as confidential. We implement reasonable technical and organizational measures to protect your data from unauthorized access or disclosure. However, no transmission over the internet is completely secure, and we cannot guarantee absolute security of your data.
We retain Your Content for as long as necessary to provide the Services and fulfill the purposes described in these Terms. You may request deletion of specific documents by submitting a written request to hello@bidready.pro. Deletion requests will be processed within 30 days, subject to legal retention obligations.
The Services may integrate with or reference third-party platforms including SAM.gov and other government databases. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party platforms is governed by those platforms' own terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEWBRIDGE SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 90 DAYS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Newbridge Systems LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) any proposal submitted to a government agency using our Services.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. You may discontinue use of the Services at any time.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidReady with respect to the Services and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
